Official Rules

*$50,000 prize awarded through a sweepstakes draw only if the selected entrant has the qualifying Grand Prize Key. Winning is subject to compliance with all terms of the following Official Rules.

1. NO PURCHASE NECESSARY. PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

2. Description of the Sweepstakes.

(a) These Official Rules (“Official Rules”) govern the Predicto Mobile 2010-2011 $50,000 Giveaway (all prizes are awarded in Canadian dollars) (the “Sweepstakes”) sponsored by Predicto Mobile LLC ("Sponsor," "we" or "us"). The Sweepstakes begins on April 15, 2010 at 12:00:01 AM Eastern Time (“ET”) and ends on April 14, 2011 at 11:59:59 PM ET (the "Promotion Period").

(b) The Sweepstakes consists of twelve (12) monthly random drawings one for each Monthly Promotion Period (as defined below), and one (1) random drawing for a grand prize ("Grand Prize") which will be drawn at the end of the Promotion Period. The entry dates and draw dates for the Monthly draws and the Grand Prize draw are set forth in attached Schedule 1.

(c) For the purposes of these Official Rules, a “Monthly Promotion Period" is defined as the 15th day of a calendar month during the Promotion Period at 12:00:01 AM ET through the 14th day of the succeeding calendar month at 11:59:59 PM ET.

3. Eligibility.

To enter and be eligible to win a prize in the Sweepstakes an entrant must be at the time of entry (a) an individual legal resident of Canada (excluding Quebec); (b) located in Canada (excluding Quebec); (c) a registered or Basic Member of Predicto Mobile (see Rule 4(a) below for instructions on how to register); and, (d) of the age of majority in his/her province or territory of residence. Employees, officers, and directors of Sponsor or SCA Promotions, Inc. (“SCA”), their respective legal representatives, affiliates, parent companies, subsidiaries, advertising, promotional, fulfillment and marketing agencies, their respective immediate families (defined as parents, siblings, children and spouses regardless of where they reside) and households (whether related or not) are not eligible to enter the Sweepstakes. By participating, you agree to abide by these Official Rules and the decisions of the Sponsor and those of SCA, which are final and binding in all respects.

4. How to Participate.

(a) Registration - If you are not already registered as a Premium or Basic Member (as those terms are defined on the Predicto Mobile Canada Member Terms (“Member Terms”) which are displayed at ca.predicto.com), visit ca.predict.com (the “Website”) and follow the instructions to register as either a Premium or Basic Member. You can also register as a Premium Member by responding to an advertisement for Predicto Mobile on the Internet or in other media. A Premium Member is subject to registration fees as outlined in the Member Terms which are displayed on the Website. There is no cost to register as a Basic Member. Each entrant must have a two-digit Grand Prize Key to be eligible to win the Grand Prize. The Grand Prize Key for Premium Members will be the last two digits of the cell phone number they provided when they registered. Basic Members who registered during the Promotion Period will be prompted during their registration to select a two digit number from the range of 00 to 99 and that number will be considered their Grand Prize Key. Those Basic Members who registered on the Website prior to the Promotion Period, will be randomly assigned a two digit number by the Sponsor and, in such a case, Basic Members may request their Grand Prize Key by contacting customer support at cs_support_ca@predicto.

(b) There are two means of entering the Sweepstakes (each an “Entry”) which are described below: a “Mobile Entry” (available to Premium Members) and a “Web Entry” (available to Basic Members). Both Premium Members and Basic Members have an equal chance to win.

(c) Mobile Entry - Premium Members will receive various surveys (“Surveys”), generally on celebrity and current news events, throughout the Promotion Period via SMS text message. Each response to a Survey will result in one (1) Entry into the Sweepstakes. Limit one (1) Entry per Survey. Standard message and data rates may apply in addition to any Premium Member subscription rates. All charges will be billed on a Premium Members wireless phone bill or deducted from his/her prepaid balance. Sponsor makes no guarantee that any particular wireless service provider will participate or continue to be a participating carrier. Entering by the Mobile Entry method will not improve a person’s chances of winning.

(d) Web Entry - Basic Members can enter the Sweepstakes by visiting the Website and submitting their responses to the same Surveys that are SMS text messaged to Premium Members. Each Survey response through the Website will result in one (1) Entry into the Sweepstakes. Limit one (1) Entry per Survey. Premium Members are also eligible to enter via Web Entry, however the limit of one (1) Entry per Survey still applies, regardless of how the Survey is answered.

5. Drawings: Selection of Winners.

(a) Monthly Drawing. Each eligible Survey response will result in one (1) Entry into the Monthly Drawing associated with that Monthly Promotion Period in accordance with attached Schedule 1. Monthly drawings will be conducted approximately ten days after the close of Monthly Promotion Period as set forth in attached Schedule 1. Non-winning monthly Entries will not be rolled over into subsequent monthly drawings.

IF YOU FAIL TO COMPLETE AT LEAST ONE MOBILE OR WEB ENTRY FOR ANY MONTHLY PROMOTION PERIOD OR WHERE WE DID NOT RECEIVE YOUR ENTRY FOR ANY REASON WHATSOEVER, YOU WILL NOT QUALIFY FOR THE APPLICABLE MONTHLY PRIZE.

(b) Grand Prize Drawing. Each eligible Survey response will also result in one (1) Entry into the Grand Prize Drawing. Prior to the Promotion Period, SCA will randomly pre-select one (1) set of two (2) digit numbers from the range of 00-99 which will be considered the “Grand Prize Number”. On or about May 1, 2011, one (1) Entry will be selected via a random drawing from among all eligible Entries made during the entire Promotion Period (the “Grand Prize Finalist”). If the Grand Prize Finalists’ Grand Prize Key matches the Grand Prize Number exactly and in order, the Grand Prize Finalist will be eligible to win the Grand Prize. If the Grand Prize Finalists’ Grand Prize Key does not match the Grand Prize Number exactly and in order, the Grand Prize Finalist is not eligible to win the Grand Prize. Sponsor reserves the right to select up to two (2) alternate Grand Prize Finalists, subject to the same process above, after which time no further Grand Prize Finalists will be selected and the Grand Prize will go unawarded. There is no guarantee that the Grand Prize will be awarded.

IF YOU FAIL TO COMPLETE AT LEAST ONE MOBILE OR WEB ENTRY DURING THE PROMOTION PERIOD OR WHERE WE DID NOT RECEIVE YOUR ENTRY FOR ANY REASON WHATSOEVER, YOU WILL NOT QUALIFY FOR THE GRAND PRIZE.

(c) Odds of Winning. Odds of winning a Monthly Prize will depend on the number of eligible Entries received during the respective Monthly Promotion Period. Odds of being selected as the Grand Prize Finalist will depend on the number of eligible Entries received during the entire Promotion Period. Odds of a Grand Prize Finalist having the Grand Prize Key to be eligible to win the Grand Prize are 1 in 100.

6. Prizes; Contacting Winners.

(a) Prizes. One (1) $50,000 Grand Prize is available to be won, payable by check with payment to be made within thirty days of the winner signing an affidavit of eligibility and liability/publicity release. Twelve (12) Monthly Prizes are available, each consisting of a $500 lump sum payable by check with payment to be made within thirty days of the winner signing a Declaration of Compliance or completion of the online claim form. Selected entrants must comply with these Official Rules to qualify for a prize. Additionally, potential winners will be required to correctly answer a time-limited mathematical skill testing question without any assistance, mechanical or otherwise, in order to be eligible to receive a prize. The skill-testing question will be administered by phone at a mutually convenient time. The winner will be solely responsible for any taxes, including U.S. withholding taxes.

(b) Contacting Winners; Conditions Applicable to Prizes. Selected entrants will be notified by text message or email. Before being declared a winner, a selected entrant may be required to execute a declaration of eligibility and a liability/publicity release which must be returned within ten (10) days from the date indicated on the documents. A selected entrant must also respond correctly to a time limited skill question administered by SCA. If the potential winner cannot be contacted and the skill-testing question administered within five (5) days of the first contact attempt or if they fail to sign and return the Declaration within the time specified on the documents, the potential winner may be disqualified and an alternate winner may be selected. If a winner does not respond to the attempt to contact him/her or fails to return the liability/publicity release or does not correctly respond to the skill question, we may, in our sole discretion, attempt to contact up to five (5) potential winners in accordance with the above procedure, after which the prize may go unawarded if it remains unclaimed. Winning a prize is contingent on fulfilling all the requirements set forth herein. Prizes must be accepted as awarded and may not be substituted or transferred.

7. General Conditions.

Winning a prize is contingent on fulfilling all the requirements set forth herein. All entries become the property of Sponsor and none will be returned or acknowledged. Mass entries, automated entries, entries submitted by third parties and any entries or prize claims that are late, incomplete, fraudulent, illegible, unidentified or delayed will be void. All entries and any prize claims are subject to verification. Entrants agree to abide by these Official Rules. Sweepstakes is subject to all applicable federal, provincial and municipal laws. Void where prohibited. Sponsor reserves the right to correct any typographical, printing, computer programming or operator errors. Should a winner make any false statement(s) in any documents referenced herein, the winner will be required to promptly return to Sponsor his/her prize, or the cash value thereof. We reserve the right in our sole discretion to disqualify any individual who tampers with the entry process, the operation of the Sweepstakes or Website violates the Official Rules or acts in an unsportsmanlike or disruptive manner or with intent to annoy abuse, threaten or harass any other person. WARNING: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS SWEEPSTAKES OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. If any provision of the Official Rules is determined to be invalid or otherwise unenforceable, then the Official Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein. Proof of sending will not be deemed to be proof of receipt by Sponsor. Use of automated devices is prohibited; automated entries (including but not limited to entries submitted using any robot, script, macro or other automated service) are not permitted and will result in disqualification.

Identity of Entrant: In the event of a dispute as to the identity of the person who submitted an Entry, the authorized account holder of the e-mail address (for Web Entry entrants) or wireless cell-phone number (for Mobile Entry entrants), as the case may be, that was submitted at the time of entry will be deemed to be the entrant. The "authorized account holder" is the natural person assigned an e-mail address or cell phone number by an access provider, service provider, or other person or organization responsible for assigning e-mail addresses or cell phone numbers for the account associated with the submitted address or phone number. The potential winner may be required to show proof of being the authorized account holder.

Right to Void/Terminate/Suspend/Modify: Any Codes or other materials used in this Sweepstakes which have been tampered with, mutilated, altered, forged, reproduced, not legitimately obtained, are illegible or which contain or reflect computer, software, printing, production or other errors will be void. Sponsor reserves the right to terminate, suspend or modify this Sweepstakes, in whole or in part, at any time and without notice or obligation if, in Sponsor's sole opinion, any factor interferes with its proper conduct as contemplated by these Official Rules. Without limiting the generality of the foregoing, if the Sweepstakes, or any part thereof, is not capable of running as planned for any reason, including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, printing errors, programming errors, technical failures, or any causes which, in the sole opinion of Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsor may, in its sole discretion void any suspect entries and: (a) terminate the Sweepstakes, or any portion thereof; (b) modify or suspend the Sweepstakes, or any portion thereof, to address the impairment and then resume the Sweepstakes, or relevant portion, in a manner that best conforms to the spirit of these Official Rules; and/or (c) award the prizes from among the eligible, non-suspect entries received up to the time of the impairment in accordance with the winner selection criteria discussed above.

Personal Data: Sponsor and its authorized agents will collect, use, and disclose the personal information you provide when you register for and enter the Sweepstakes, only for the purposes of administering the Sweepstakes and prize fulfillment. By accepting a prize, winner agrees to Sponsor’s use of his/her name, city/province of residence, biographical information, statements, voice and likeness in any advertising and publicity Sponsor may conduct relating to the Sweepstakes in any media or format, whether now known or hereafter developed, including but not limited to the World Wide Web, at any time or times in perpetuity, without further compensation or notice. 8. Limitations of Liability and Releases.

BY PARTICIPATING IN THIS SWEEPSTAKES, ENTRANTS AGREE THAT SPONSOR, SCA AND THEIR RESPECTIVE PARENT, RELATED AND AFFILIATED COMPANIES, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS (COLLECTIVELY, THE "RELEASEES") HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY ENTRANTS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND (INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES) TO PERSONS OR PROPERTY RESULTING FROM: A) A PRIZE, INCLUDING THE ACCEPTANCE, MISUSE OR USE OF THE PRIZE; B) ENTRY OR PARTICIPATION IN THIS SWEEPSTAKES, INCLUDING ACCESS TO AND USE OF THE WEBSITE, OR C) ANY CLAIMS BASED ON PERSONALITY OR PRIVACY RIGHTS, DEFAMATION OR MERCHANDISE DELIVERY. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, therefore such exclusions may not apply to you. Without limiting the foregoing, the Releasees, and any of Sponsor's other agencies, suppliers or contractors, shall not be responsible for: (a) any incomplete or inaccurate information that is caused by Website users, or by any of the equipment or programming associated with or utilized in the Sweepstakes, or by any technical or human error which may occur in the processing of submissions in the Sweepstakes; (b) lost, interrupted, or unavailable network, server, service provider, on-line systems, telephone networks or telephone lines, or any other connections; (c) the theft, destruction, loss or unauthorized access to, or alteration of, entries; (d) any problems with, or malfunctions or failures of, telephone networks or lines, computers or computer on-line systems, servers or providers, computer equipment, software, viruses or bugs; (e) garbled transmissions or miscommunications; (f) failure of any e-mail, text messages or any other electronic modes of communication, to be received by or from the Sponsor or its agents for any reason, including but not limited to traffic congestion on the Internet or at any website or combination thereof or technical incompatibility; (g) damage to a user's computer equipment (software or hardware) occasioned by participation or downloading of materials related to this Sweepstakes; (h) printing, distribution, programming or production errors, and any other errors or malfunctions of any kind, whether human, mechanical, electronic or otherwise; or (i) technical, pictorial, typographical or editorial errors or omissions contained herein.

9. Administrator.

SCA Promotions, Inc. SCA is not involved in marketing the Sweepstakes and is not the Sweepstakes Sponsor and will not respond to any inquiries. SCA is responsible for selecting the winning entries associated with the prizes.
